- Limited Liability CompaniesOccasionally, I provide a kind of service so frequently that I am able to set a flat fee that is fair to both me and to the client. This is true for my service in organizing small corporations and limited liability companies. For most other services, I have found that clients' individual needs and the complexity of their cases vary enough so that services are charged at my hourly rate. I may require a deposit to cover all or most of the expected work. This deposit will be placed in my attorney trust account. When I bill for the services I have performed, a few days will be allowed for my client to receive and review the bill before I pay myself from the trust account.

- Employment ContractI frequently help clients to work on employee matters. I have negotiated and written a number of key employee and executive employment contracts, non-disclosure and non-competition/non-diversion of business agreements, profit sharing, stock ownership and related employee agreements. I have represented employees and employers in substantial cases of employee theft, sexual harassment, breach of employment contracts, and discrimination issues. I like to work with employers and employees in advanced planning on how to avoid unpleasantness and lack of productivity that these issues present. I have helped employers draft employee policy manuals.

- Non-compete AgreementI have represented hundreds of business people in reviewing, drafting, negotiating and litigating contracts of all kinds, from purchase and sale agreements, shareholder agreements, leases, LLC operating agreements, to real estate documents, licensing, software design, and construction contracts, to employment agreements, profit sharing agreements, non-disclosure and non-compete agreements, loan agreements, as well as a whole host of others. It is important for me to understand what the client's risks are, what the client wants to accomplish with the agreement, and to achieve the client's objectives as closely as possible, simply and clearly.

Gradually, I have narrowed my practice to those areas I find most fulfilling. I believe that a broad background in the law helps to provide clients with the
