- Corporate LawWe are experienced in the formation and maintenance of professional and business corporations, limited liability companies, general partnerships and limited liability partnerships, and in the use of these entities to achieve tax, liability, and financial goals. In addition, we are often called upon to draft or interpret buy-sell agreements, deferred compensation agreements, shareholder agreements, reorganization and dissolution documents.
- Limited Liability CompaniesWelcome to John H. Heald, PC. Our practice focuses on life and practice transitions—business succession and personal legacy planning. The firm provides legal counsel to its clients in connection with business and professional practice sales; estate and wealth transfer strategies; and the formation of business entities (corporations, partnerships, and limited liability companies) to achieve transition planning objectives. Our primary clients are: dentists, physicians and other health care providers; sophisticated small to medium size business owners; and individuals with relatively complex estate and tax planning goals.

- Construction LitigationWe prepare and review acquisition and sale documentation, commercial leases, construction contracts and work agreements. We are asked to review and negotiate loan and security documentation on behalf of investors and developers.
